Terms of Service

1. Acceptance of Terms

By accessing or using Riverbend Live (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms in their entirety, you may not access or use the Service. These Terms constitute a binding legal agreement between you and Riverbend Live. We may update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Description of Service

Riverbend Live is a live streaming platform that allows registered producers to create events, stream video via RTMP to our infrastructure (powered by Wowza Video), and engage audiences with real-time chat, Q&A, polls, and floating emoji reactions. Viewers may watch public events without an account. Producers must register and accept these Terms to use streaming features.

3. Accounts

  • You must provide accurate, current, and complete information when creating your account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must be at least 13 years old to create an account. By registering, you represent that you meet this minimum age requirement.
  • You may maintain only one account per person. Creating duplicate accounts to circumvent restrictions is prohibited.
  • You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service to:

  • Stream, upload, or transmit any content that is illegal under applicable law.
  • Infringe the intellectual property rights of any third party, including streaming content you do not have the right to broadcast.
  • Harass, abuse, threaten, or harm other users of the platform.
  • Attempt to reverse-engineer, decompile, or otherwise derive source code from the platform.
  • Use the Service to send spam, phishing messages, or unsolicited commercial communications.
  • Stream or distribute content that depicts violence intended to cause real-world harm, hate speech, or non-consensual sexual activity.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
  • Attempt to gain unauthorized access to any portion of the Service or its related systems.

We reserve the right to determine, in our sole discretion, whether any content or conduct violates these policies and to take appropriate action, including removal of content and termination of accounts.

5. Producer Responsibilities

As a producer, you are solely responsible for all content you stream, publish, or otherwise make available through the Service. You represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to stream your content and to grant us the limited license described in Section 6.
  • Your content complies with all applicable local, national, and international laws and regulations.
  • You have obtained any required consents from individuals appearing in or contributing to your streams.
  • Your content does not violate the Acceptable Use policy in Section 4.

You acknowledge that Riverbend Live acts solely as a technology platform and is not responsible for the content of your streams.

6. Intellectual Property

The Riverbend Live platform, including its design, code, branding, and documentation, is owned by Riverbend Live and is protected by copyright, trademark, and other applicable intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

Your content remains yours. By streaming or uploading content to the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to transmit, display, cache, and deliver your content solely for the purpose of providing the Service to you and your viewers. This license terminates when you delete the content or close your account.

7. Pay-Per-View & Commercial Viewing

Personal Use Only. Pay-per-view (“PPV”) content and any other content accessed through the Service are provided for your personal, non-commercial, residential use only. Each purchase grants a limited, personal, non-transferable, revocable, non-exclusive, and non-sublicensable right to stream the purchased content on a single device at a time.

Commercial Venue Prohibition. You may not display, exhibit, or otherwise make available any content purchased through the Service in any commercial establishment or area open to the public, including but not limited to bars, restaurants, lounges, stadiums, clubs, theaters, gyms, hotels, casinos, or similar venues. You may not charge admission or any fee for viewing content purchased through the Service, nor may you use purchased content to promote commercial activity (for example, by attracting patrons to a business establishment).

Commercial Venue Licensing. Commercial venues seeking to display content must purchase a Commercial Venue ticket type where offered by the producer, or obtain a separate commercial license. For commercial licensing inquiries, contact licensing@riverbendmedia.com.

Certification. By completing a purchase of any “Single Viewer” or “Watch Party” ticket, you certify that the content will be viewed exclusively in a private, non-commercial setting and will not be displayed in any commercial establishment or area open to the public.

Enforcement & Remedies. Unauthorized commercial exhibition or public performance of content may subject the violator to civil liability and criminal prosecution under applicable federal and state law, including but not limited to 47 U.S.C. § 605. Remedies may include statutory damages of up to $10,000 per violation, enhanced damages of up to $100,000 for willful violations, and recovery of attorney fees. Riverbend Live reserves the right to suspend or terminate any account, revoke access, and pursue all available legal remedies against any person or entity that violates this section.

8. Termination

We may suspend or permanently terminate your account at any time, with or without notice, if we determine in our sole discretion that you have violated these Terms or that your use of the Service poses a risk to other users, third parties, or our infrastructure.

You may close your account at any time by contacting support@riverbendmedia.com. Upon closure, your account data will be deleted in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination will do so, including Sections 6 (Intellectual Property), 7 (Pay-Per-View & Commercial Viewing), 9 (Disclaimers), 10 (Limitation of Liability), and 11 (Governing Law).

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no guarantees regarding stream uptime, encoding quality, recording availability, or the availability of specific features at any given time. Streaming infrastructure is subject to the terms and availability of our third-party providers, including Wowza Video.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIVERBEND LIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In all cases, our total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees you paid us in the three-month period immediately preceding the claim, or (b) fifty US dollars ($50).

11. Governing Law

These Terms and any disputes arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.
